1. LEGAL IDENTIFICATION

This website is operated by JFLANGHILL. JFLANGHILL provides specialized B2B consulting, AI architecture, and business process automation services. By engaging with our services or using this website, you agree to the terms outlined herein.

2. SCOPE OF SERVICE

JFLANGHILL provides "Intangible Professional Services," which include but are not limited to:

  • AI System Design and Implementation.
  • Third-party API and CRM integrations (Zapier, Make.com, OpenAI, etc.).
  • Custom Workflow Documentation and Staff Training.

Verification of Delivery: The Client acknowledges that the service is considered fully delivered once the automation systems are deployed to the Client’s environment (e.g., connected to your Zapier/Make account) or when the agreed-upon training session has been conducted.

3. PAYMENT, REFUND & CANCELLATION POLICY

Due to the custom nature of AI and Automation implementation, which involves significant labor and the deployment of unique logic, we adhere to the following policy:

  • Cancellations: If a Client requests to cancel a project before any technical work or design phase has commenced, a refund may be issued minus a 5% administrative processing fee. Once the implementation phase begins, the project cannot be cancelled for a full refund.
  • Finality of Payment: All payments are considered final once the "Milestone Acceptance" or "Final System Deployment" occurs.
  • No-Refund Policy: Since JFLANGHILL provides custom-coded logic and professional consulting time, we do not offer refunds for services already rendered or systems already deployed.
  • Chargeback Policy: The Client agrees that initiating a "Chargeback" for services already rendered constitutes a breach of contract. JFLANGHILL reserves the right to provide all project logs, communication history, and system access records to financial institutions to contest fraudulent claims.
  • Service Suspension: In the event of a payment dispute or chargeback, JFLANGHILL reserves the right to immediately suspend technical support and deactivate any proprietary automation logic until the account is brought into good standing.

4. ACCESS & SECURITY (API/CREDENTIALS)

To perform these services, the Client may provide JFLANGHILL with administrative access to internal business systems.

  • Security: JFLANGHILL agrees to handle all credentials with industry-standard security protocols and will never share access with unauthorized third parties.
  • Authorization: By providing API keys or account logins, the Client confirms they are the authorized owner of said accounts and explicitly grants JFLANGHILL permission to perform technical actions on their behalf.

5. INTELLECTUAL PROPERTY

Unless otherwise agreed in a written Master Service Agreement (MSA), JFLANGHILL retains ownership of the specific proprietary logic and custom scripts developed. The Client is granted a non-exclusive, non-transferable license to use these systems for their internal business operations.

6. LIMITATION OF LIABILITY

AI and Automation systems are dependent on third-party APIs (OpenAI, Google, Slack, etc.). JFLANGHILL is not liable for:

  • Service interruptions or price changes caused by third-party API providers.
  • Errors in AI output or data processing once the system has been handed over to the Client's control.
  • Business losses resulting from automation downtime. JFLANGHILL’s total liability is limited to the amount paid for the specific service phase in question.

7. GOVERNING LAW

Any disputes arising from this agreement shall be governed by the laws of the State of New Jersey, USA. Any legal action shall be conducted in the courts located in Bergen County, New Jersey.
